CANADIAN LEADERSHIP · INTERNATIONAL CAPITAL

Canadian leadership for international investors.

An investment in Canada needs someone accountable for what happens here.

NorthHelm Advisory provides director, board advisory and interim executive mandates for international investors and Canadian companies. Doug Bailey, CPA, is the named principal, with a defined role and responsibility to carry the mandate through.

THE ROLE FOLLOWS THE SITUATION

Who needs to take responsibility?

You may be considering an acquisition, overseeing a Canadian business from abroad, or working through a change in ownership, leadership or capital structure. The starting point is the responsibility that needs to be held in Canada.

01 / GOVERNANCE

A director in Canada

Explore director mandates ↗

A Canadian-resident director or sole director appointment where the structure and circumstances call for it. The mandate establishes authority, oversight and reporting alongside the company's counsel.

What decisions must the board make, and who is accountable for them?

02 / JUDGMENT

A board or special advisor

Explore advisory mandates ↗

An advisory mandate for a board, owner or investor weighing a consequential corporate decision. The role provides perspective and coordination while leaving decision authority with the appointed directors and executives.

Where does the decision need experienced, independent challenge?

03 / EXECUTION

An interim CEO or CFO

Explore interim leadership ↗

An executive appointment to carry defined responsibilities through a transition, recapitalization or special situation. Scope, reporting and the eventual handback are agreed at the outset.

Who will lead the business while the situation is being resolved?

A director appointment, executive role and advisory mandate carry different responsibilities. The appropriate structure is determined with counsel; Canadian residence alone does not establish suitability or satisfy every requirement.

BEFORE AN INTRODUCTORY CALL

Questions an international investor may ask.

Can NorthHelm work alongside our existing Canadian advisors?

Yes. The mandate is designed around a defined governance, executive or advisory responsibility, coordinated with counsel and other members of the professional team.

Does the company need to be in distress?

No. A transaction, ownership transition, leadership gap or sensitive governance decision can create the need for an accountable principal. Restructuring is one possible context.

Is this an investment sourcing or government-access service?

The focus is the role inside or alongside the company. NorthHelm does not promise investment opportunities, financing, government access, approvals or investment returns.

What should we bring to the first discussion?

A brief explanation of the Canadian entity or proposed investment, the ownership and capital structure, your immediate question and the role you believe is missing. Formal materials are not needed for an initial conversation.
